Wholesale & B2B Terms of Service

1. Commercial Account Eligibility
By submitting a Wholesale Application and ordering stock, you warrant that you are a registered commercial entity with a valid Australian Business Number (ABN). We reserves the right to suspend accounts or refuse service to any venue that fails to maintain valid business registration.

2. Commercial Intellectual Property & Brand Usage
Customers are authorized to use the "Matchaya" trademark, brand name, and official logo imagery solely on menu boards, cafe websites, and social media platforms to promote the sale of authentic Matchaya products within their physical venue. You may not repackage, re-label, alter, or blend Matchaya powders for wholesale redistribution without explicit written consent from the official Australian distributor and Matchaya Singapore.

3. Pricing and Order Adjustments
Wholesale pricing listed in our catalogue is proprietary and confidential. Prices are subject to change based on import logistics, shipping costs, and currency fluctuations between Singapore (SGD) and Australia (AUD). We will provide active account holders with 14 days' written notice before any major price adjustments take effect.

4. Payment Terms
All new commercial accounts operate on a strict Pre-Paid / COD basis for their first three (3) consecutive orders. Following this initial period, venues may apply for 7-Day or 14-Day Net Credit Terms. We reserve the right to suspend shipments immediately if any invoice remains overdue. Overdue accounts may be subject to a 2% monthly late administration fee.

5. Title and Risk of Loss
Risk of loss or damage to the goods passes directly to the commercial customer upon courier delivery to your registered venue address. Title of ownership to the goods remains with the distributor until full payment for the specific invoice has cleared.
